Clay M.
Biddinger
is the chairman of Bay4
Capital, LLC and Bay4 Capital Partners, Inc. Clay
has more than 20 years experience in the financial services
industry including experience as an entrepreneur, founder,
chairman, and Chief Executive officer of Sun Financial Group,
Inc. (“Sun”).
While
independent, Sun was among Inc. 500's fastest growing private
companies four times between 1986-1990, and was merged into
GATX Capital Corporation (“GATX”) in 1995, a $6 billion
financial services company with an emphasis in equipment
leasing and financing.
A past
recipient of the Florida Entrepreneur of the Year award and
the founding chairman of the Florida Chapter of the Council of
Growing Companies, Clay serves on the board of directors of
Florida Banks, Inc., a publicly-traded commercial bank;
Petrocom, a Houston-based telecommunications company, the
Council of Growing Companies; and
various charitable and community non-profit organizations.
Clay
received his BS in Business Administration from Rollins
College.

Joseph C. Lane
is Vice Chairman of
Bay4 Capital, LLC, and Chairman & Chief
Executive Officer of Hyphos360, Inc.
As part of the leasing, investment banking and asset financing
industries for 25 years, Joe served as a Director, Vice
Chairman and ultimately as Chairman of the Equipment Leasing
Association. He was President and Chief Executive Officer of
GATX Capital Corporation when Sun Financial Group, Inc. became
part of the GATX enterprise. More recently, Joe was President
of IBM Credit Corporation, Group Executive -IBM Global
Financing, and Senior Vice President of IBM. As head of the
world's largest information technology financing business, he
was responsible for a $40 billion operation, in over 40
countries around the globe. He was a member of IBM's
Operations Committee, Worldwide Management Council and Senior
Management Group. With experience in aircraft, railcar,
locomotive, utilities, real estate and technology financing,
Joe has been involved with large, medium and small ticket
transactions. As an investment banker with a regional firm in
Texas, he completed transactions in oil and gas exploration,
offshore supply, and oilfield services. Joe has had direct
involvement with capital markets worldwide, and has served on
boards of directors and advisory boards in Europe, Asia and
North America. He was the Chairman of Centron, DPL, a provider
of technology solutions and hardware. Joe currently serves on
the Board of Directors of Oxford Finance Corporation, a
specialized financial services company that provides secured
financing for emerging growth life sciences companies. He is
on the Board of Link Institute, a not-for-profit organization
promoting core virtues and core curriculum for K-12 education,
and he is a member of the Advisory Board for the Carl Schmitt
Foundation.
Joe is an Associate Fellow of Davenport College at Yale
University, where he earned his BA in American History.

Ray
Gonzalez
is the Chief Operating Officer of Bay4 Capital,
LLC. Ray has more than seventeen years experience in all
facets of operations and financial management.
From 1997
to the summer of 2001, Ray was the CEO, President and CFO of
OccuLogix Corporation, a development stage medical device
company that is pioneering a new treatment for Age-related
Macular Degeneration. Ray joined OccuLogix in 1997 as the
Vice-President of Operations and was promoted to the
CEO/President/CFO position in 1999. In this role, Ray
restructured the company, raised a round of capital and
operated an FDA clinical trial to achieve data for product
approval. Ray was directly responsible for strategic
planning, financial planning, budgeting, financial reporting
and operations.
From 1996
to 1997, as Acting-CFO for Bobby Grace Golf Design, Ray
negotiated and closed a sale of the company to Cobra Golf, a
subsidiary of American Brands. In these eight months, Ray
developed a strategic marketing plan for the brand, worked
with KPMG to complete an audit of the company’s financial
reports, renegotiated key vendor agreements and negotiated the
purchase of the company.
From 1992
to 1996, Ray held various executive management positions with
GSP, a printing and fulfillment company for over 10,000
convenience stores across the country. Ray joined GSP as the
General Manager in 1992 when the company generated $2 million
in sales with 30 employees. Ray was promoted to President and
CFO in 1995. During his leadership, GSP grew to $11.5 million
in revenue produced by 180 employees in an around the clock
manufacturing and distribution environment. The growth of the
company was internally financed. Ray was responsible for all
business activities of the company.
Ray began
his professional career in 1984 with Arthur Andersen & Co.
During his years with Arthur Andersen & Co and Andersen
Consulting (now Accenture), Ray specialized in re-engineering
business processes to improve financial performance. His most
significant clients included Tropicana Products, Florida Power
Corporation, General Mills Restaurants (Red Lobster), IBM,
Johnson & Johnson (Vistakon and Critikon) and The Walt Disney
Company.
Ray
received his BS in Mechanical Engineering from the University
of Notre Dame and his MBA from the University of Florida.

Dennis W. Odden
is a Managing Director, of Bay4 Capital, LLC
(“Bay4”). Dennis has sixteen years of experience in
the financial services industry including serving as President
of Convergent Capital Corporation while simultaneously serving
as Vice President of Convergent Communications Services, Inc.,
an affiliate, from June 2000 to April 2001. Before being
promoted to President of the leasing company, Dennis served as
Senior Vice President of Business Development from September
1998 to June 2000.
From 1985
to August 1998, Dennis held various positions including Senior
Equipment/Asset Manager for Sun Financial Group, Inc. At Sun,
Dennis was responsible for the management of a half-billion
dollar technology portfolio, equipment sales staff, Buy/Sell
administration, client Asset Management programs and Technical
Center operations.
Dennis
received his BA in Information Systems from the University of
South Florida.

Brian A.
Whitmire, is a Managing Director for Bay4
Capital. Mr. Whitmire has over fifteen years experience in
the financial service industry. Prior to joining Bay4,
Mr. Whitmire was Chief Investment Officer for GATX Capital’s
Technology business unit, one of the industry’s largest
independent technology leasing companies. In this position,
Mr. Whitmire was responsible for the overall investment
strategy for GATX Technology Services. His primary duties
included the management of Credit, Pricing, Funding, and
Transaction Approval for the Technology group’s North American
operations as well as coordinating investment activities for
joint ventures in Europe and Australia.
Prior to his role
as Chief Investment Officer, Mr. Whitmire held the position of
Managing Director, responsible for the Technology group’s
North American Sales and Marketing operations as well as
overseeing the functional areas of Credit, Pricing, and
Funding of lease transactions.
From 1995 to 1998,
Mr. Whitmire was Vice President, Marketing, with
responsibilities including development and implementation of
the Company’s sales and marketing plan, as well as pricing and
structuring of all lease transactions.
From 1991 to 1995,
Mr. Whitmire held various positions as part of the management
team of Sun Financial Group, Inc., prior to its merger into
GATX Capital. Mr. Whitmire began his career with Sun in 1988,
as a Regional Sales Manager.
Mr. Whitmire
received his BA in Economics from Davidson College.

Charles N.
Lafferty
is the Chief
Financial Officer of Bay4
Capital.
Chuck began his career in the technology leasing business in
1992 with Sun Financial Group, Inc., which was renamed to GATX
Technology Services after the merger of Sun with GATX Capital
Corporation in 1995. For the past ten years at Sun/GATX Chuck
has been responsible for Accounting, Financial Planning and
Analysis, and Tax in his capacity as Vice President, Finance.
Before
joining Sun, Chuck was with Florida Progress Corporation as a
Vice President in the Credit Division. He also served as
Assistant Controller at Home Shopping Network, Inc., Vice
President at Home Federal Bank, and Senior Accountant at
KPMG.
Chuck earned
a BA in Accounting in 1979 from the University of South
Florida and is a Certified Public Accountant.

Audrey M.
Odden
is the Vice President Finance and Administration for Bay4
Capital.
She has been in the financial services industry for fifteen
years. Audrey is responsible for developing and
maintaining all lender relationships, manages credit
underwriting and contract administration and coordinates all
lease financings.
Audrey
served as Vice President Finance and Administration for
Convergent Capital Corporation from September 1998 to May
2001. Convergent was a startup captive leasing company, which
quickly grew to profitability. There Audrey obtained a
warehouse line of credit, developed small ticket lender
programs, and managed credit and contact administration.
From
March 1990 to August 1998, Audrey held several positions
including Account Manager – Finance for Sun Financial Group,
Inc. She secured debt placement of $175 million in lease
transactions in 1998 through single or portfolio financing
with the nation’s larger lending institutions.
From 1986 to
1989 Audrey was employed by CIS Corporation formerly CMI
Corporation. There she held Senior Regional Account
Administrator positions.
Audrey
received her BA in Marketing from the University of South
Florida.

Jeffrey A.
Paul
is the Vice President, IT Services, for Bay4
Capital. Jeff has more than fourteen years experience in
information systems management. Before joining Bay4,
he was the Chief Information Officer for GATX Technology for
seven years. As such, Jeff was responsible for implementing
the equipment standardization, MIS tracking system, and high
level of IT service throughout the GATX organization. He was
instrumental in the development of GATX’s international web
services, and developed a partnership with an equipment
provider to support their procurement initiative.
Prior to
becoming a permanent GATX employee, Jeff worked with Sun/GATX
on a consultant basis to fine-tune their IT systems. In 1988
Jeff started SLP Resources, a consulting platform, which
targeted companies needing client server, mainframe
implementation, application development, and IT strategic
development. From 1988 to 1996 SLP worked with a variety of
clients including Seminole Electric in Tampa, FL and
Beneficial Finance in Peapack, NJ. Jeff also served as the
interim CIO for J. Walter Thompson, Detroit, MI, where he
reorganized the company’s IT department, standardized their
products, and hired the permanent IT management.
Jeff
received his BS in Computer Science from Thomas Edison State
College, Trenton, New Jersey.
